1.The agreement

These terms are an agreement between [Rydhm legal entity name] (“Rydhm”, “we”, “us”) and the person or organisation that uses Rydhm (“you”). By creating an account or using the service, you accept them. If you accept on behalf of an organisation, you confirm you have authority to bind it.

The Privacy Policy, the Acceptable Use Policy and any order or plan you agree with us form part of these terms. If an order conflicts with these terms, the order wins.

2.The service

Rydhm lets you create AI experts that talk with people by voice and chat: on your website, on a public page, inside the Rydhm app and in online meetings. Experts can use knowledge you provide and tools you connect.

Rydhm is in early access. Features may change, be added or be removed, and some may be labelled as previews. We’ll give reasonable notice before removing a feature you rely on, where we can.

3.Accounts and workspaces

You need an account to use Rydhm, and you must be at least 18. Keep your sign-in details secure and tell us at [email protected] if you think your account has been misused.

Content belongs to a workspace. Workspace owners and admins control who has access and what each person can do, and are responsible for the actions of the people they invite.

4.Your content

You keep all rights to the content you put into Rydhm and the content your experts produce for you, including instructions, documents, conversations, transcripts and summaries (“Customer Content”).

You give us permission to host, process, transmit and display Customer Content only as needed to provide, secure and support the service, including through our sub-processors. We don’t use Customer Content to train AI models.

You’re responsible for Customer Content, and for having the rights and permissions needed to give it to us and to let your experts use it.

5.Your responsibilities to the people your experts talk to

You decide where your experts work and what they say, so you agree to:

  • Tell people they are talking to an AI where the law requires it, and never claim an expert is a human when someone asks.
  • Get any consent the law requires before an expert joins, transcribes or summarises a meeting or call, and tell participants it is there. An expert joins a meeting as a visible participant under its own name.
  • Follow the laws that apply to your use, including those on consumer protection, marketing, debt collection, health and financial information, and data protection.
  • Not rely on an expert for emergencies, or for medical, legal or financial advice without appropriate human oversight.

6.Acceptable use

You must follow the Acceptable Use Policy. We may remove content or suspend access that breaks it, as described below.

7.AI output

Experts generate responses with AI models, and those responses can be incomplete or wrong, even when they answer from your knowledge. You are responsible for reviewing output before relying on it, for the actions you allow experts to take, and for settings such as whether an action needs confirmation first.

8.Third-party services

Rydhm works with services run by others, such as Google, Microsoft and Zoom meetings, Google Calendar, Gmail and Outlook. When you connect or use them, their terms also apply, and we aren’t responsible for them. If a third party changes or withdraws access, the related Rydhm feature may stop working.

9.Fees

During early access, fees, if any, are those agreed with you in writing. When we introduce paid plans, we’ll tell you the prices in advance, and you won’t be charged unless you choose a paid plan. Unless an order says otherwise, fees are exclusive of taxes.

10.Confidentiality

Each of us will protect the other’s non-public information that is marked or obviously confidential with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential. This doesn’t apply to information that is public through no fault of the receiver, already known to it, or independently developed.

11.Our intellectual property

Rydhm, its software, design and brand belong to us and our licensors. These terms give you a right to use the service, not ownership of it. If you send us feedback, we may use it without obligation to you.

12.Suspension and termination

You can stop using Rydhm at any time and ask us to close your workspace. We may suspend or end your access if you materially break these terms, if your use creates a security or legal risk, or if we have to by law. Where reasonable, we’ll tell you first and give you a chance to fix the problem.

After termination, we delete workspace data as described in the Privacy Policy. Sections that by their nature should survive, such as those on liability and disputes, continue to apply.

13.Disclaimer

We work to keep Rydhm reliable and secure, but the service is provided “as is” and “as available”, especially during early access. To the extent the law allows, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don’t promise that the service will be uninterrupted or error-free, or that AI output will be accurate.

14.Limitation of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if warned they were possible.

Our total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim and [minimum liability amount]. Nothing in these terms limits liability that can’t be limited by law.

15.Indemnity

You will defend and indemnify Rydhm against third-party claims arising from Customer Content, from your use of the service in breach of these terms or the law, or from actions your experts take that you configured or approved.

16.Changes to these terms

We may update these terms. We’ll change the date at the top and, for significant changes, tell account holders by email or in the app at least 30 days before they take effect. Continuing to use Rydhm after that means you accept the new terms.

17.Governing law and disputes

These terms are governed by [governing law]. Disputes will be heard by [courts of jurisdiction], and each of us agrees to that jurisdiction. Before starting proceedings, we’ll both try in good faith to resolve the dispute by talking.

18.General

These terms are the whole agreement between us about the service. If part of them can’t be enforced, the rest still applies. Not enforcing a right isn’t a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is liable for delays caused by events beyond reasonable control.
